Terms of Service
1. Scope
These Terms of Service ("Terms") govern use of services provided by Layernote (the "Service"), including the web app, API, widget, embed features, Figma integration, and related functionality.
By creating an account or using the Service, you agree to these Terms.
2. Definitions
- Service: the Layernote platform and related features.
- User: any individual or entity that uses the Service.
- Content: data, files, annotations, comments, and other material submitted through the Service.
3. Accounts and access
- You must provide accurate account information.
- You are responsible for activity under your account.
- You must keep credentials confidential.
- You must notify us promptly if you suspect unauthorized use.
We may suspend or restrict access for security reasons or violations of these Terms.
4. Acceptable use
You may use the Service only in compliance with applicable law. You may not:
- infringe third-party rights;
- upload or distribute malware or harmful code;
- attempt unauthorized access to systems or data;
- reverse engineer, disrupt, or overload the Service;
- submit unlawful, abusive, deceptive, or discriminatory content.
5. Collaboration, guests, and shared links
- You are responsible for managing permissions for shared links and guest access.
- If you invite guests, you are responsible for lawful sharing of their information.
- You decide what project information is shared and with whom.
6. Content and intellectual property
- You retain ownership of your Content.
- You grant us a non-exclusive license to host, process, and transmit Content as needed to provide, secure, and improve the Service.
- Layernote retains all rights in the Service software, documentation, branding, and related intellectual property.
7. Paid plans and billing
- Some features require a paid subscription.
- Pricing, limits, and plan features are shown in the app or pricing materials.
- Payments are processed by Stripe and may renew automatically on a recurring basis.
- Unless stated otherwise, fees are non-refundable.
You are responsible for accurate billing details and payment method validity.
8. Trials and plan changes
We may offer trial periods and allow upgrades, downgrades, and seat changes. Effective dates and billing effects are shown during checkout or in-app plan flows.
9. Third-party services
The Service integrates with third-party providers (for example Stripe, Figma, storage providers, email providers, and AI providers). Your use of those services may also be subject to their terms and privacy policies.
We are not responsible for third-party services outside our reasonable control.
10. AI features
AI-powered outputs (including design comparison output) may be incomplete or inaccurate. You are responsible for reviewing and validating outputs before relying on them.
11. Availability and changes
- We aim for reliable service but do not guarantee uninterrupted availability.
- We may modify, improve, or discontinue features at any time.
- We may perform maintenance that temporarily affects availability.
12. Termination
You may stop using the Service and close your account through available account options or by contacting support.
We may suspend or terminate access for:
- violation of these Terms;
- security incidents or abuse;
- legal or regulatory requirements.
Upon termination, we may delete data in accordance with our retention practices and legal obligations.
13. Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, express or implied.
14. Limitation of liability
To the fullest extent permitted by law:
- we are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, goodwill, or data;
- our total liability for any claim is limited to the amount you paid for the Service in the 12 months before the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
15. Indemnification
You agree to indemnify and hold Layernote harmless from claims, losses, and expenses arising out of:
- your misuse of the Service;
- your Content;
- your violation of law or third-party rights.
16. Privacy
Our processing of personal data is described in our Privacy Policy.
17. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will provide notice through the Service, email, or website. Continued use after the effective date means you accept the updated Terms.
18. Governing law and venue
These Terms are governed by the laws of the Netherlands. Any dispute will be brought before the competent courts of the Netherlands, unless mandatory law requires otherwise.
